Indemnification: You agree to indemnify and hold the Henry Bowles Company and its affiliates, suppliers, service providers, and licensors and its and their respective directors, managers, owners, officers, employees, agents, successors, and assigns (the “Indemnified Parties”) harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third-party (including your employees, any carrier or customer, and any other party) allegations, claims, actions, disputes, or demands as a result of or relating to your content, your use of the Website and Services, your violation of these Terms, or any gross negligence or willful misconduct on your part.

13. Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision or invalidate or render unenforceable such term or provision in any other jurisdiction. If any provision or portion of any provision of these Terms shall be held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions or portions thereof shall remain in full force and effect. 

14. Waiver: No waiver by the Henry Bowles Company of any term or condition set out in these Terms shall be effective unless in writing and signed by the Henry Bowles Company. No waiver by the Henry Bowles Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Henry Bowles Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement: The Terms and our Privacy Policy constitute the sole and entire agreement between you and us regarding the Website and the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website and the Services.

Governing Law and Jurisdiction: All matters relating to the Website, the Services, or these Terms and any disputes arising therefrom or related thereto (in each case, including non-contractual disputes or claims) shall be governed by the substantive and procedural laws of Florida without regard to its rules on conflicts or choice-of-law rules. Any legal suit, action, or proceeding arising out of or related to these Terms, the Website, or the Services will be instituted exclusively in the state courts located in Naples, Florida or the United States District Court for the Middle District of Florida, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.

An updated version of these Terms will be effective upon the later of the date posted or the effective date set forth in the updated version.
